1. Acceptance of Terms

By accessing or using the Vera Studio desktop application and website (the "Service"), operated by Fore Technologies LLC ("Vera Studio," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Vera Studio provides a software development platform that enables users to build, iterate on, and ship applications using AI-assisted tooling. The Service may route requests to third-party AI model providers to deliver functionality. We do not guarantee the accuracy, completeness, or fitness of AI-generated output for any particular purpose. You are responsible for reviewing and validating any output produced by the Service before relying on it.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these Terms, and that all information you provide is accurate and complete. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate and current.
  • Maintain the security and confidentiality of your login credentials.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

You may not share your account credentials with others or transfer your account to another person. We reserve the right to suspend or terminate any account that we reasonably believe violates these Terms.

5. Subscriptions and Payments

Certain features of the Service may require payment. Where applicable:

  • Billing: Payments are processed securely through Stripe. We do not store your full payment card information.
  • Subscription Terms: Subscriptions renew automatically at the interval you select unless cancelled prior to the renewal date.
  • Pricing Changes: We may change pricing with reasonable advance notice. Pricing changes take effect at the start of your next billing cycle.
  • Taxes: You are responsible for any applicable taxes associated with your use of the Service.
  • Refunds: Except where required by law, fees are non-refundable.

6. User Content

The Service may allow you to submit code, prompts, projects, and other content ("User Content"). By submitting User Content, you:

  • Retain ownership of your User Content. You grant Vera Studio a limited, worldwide, royalty-free license to host, process, transmit, and display your User Content solely as necessary to provide and improve the Service.
  • Represent that you own or have the necessary rights to submit the User Content and to grant the license described above.
  • Represent that your User Content does not violate any law or infringe the rights of any third party.
  • Acknowledge that you are solely responsible for the accuracy and legality of your User Content.

We reserve the right to remove or disable access to User Content at our sole discretion, including content that we determine to be inappropriate or in violation of these Terms.

7. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Resell, sublicense, or redistribute the Service without authorization.
  • Scrape, crawl, or use automated means to access or collect data from the Service, including for the purpose of training artificial intelligence or machine learning models.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
  • Attempt to gain unauthorized access to other users' accounts or to any portion of the Service that you are not authorized to access.
  • Use the Service to send spam, unsolicited communications, or promotional materials.
  • Upload or transmit viruses, malware, or any other harmful code.
  • Use the Service to generate content that is illegal, abusive, harassing, or intended to harm others.

8. Intellectual Property

The Service, including its design, text, graphics, logos, icons, images, software, and all other content (excluding User Content), is the property of Fore Technologies LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. The Vera Studio name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Fore Technologies LLC You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INCLUDING AI-GENERATED OUTPUT. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FORE TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, ANY CONTENT OBTAINED FROM THE SERVICE, OR UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

11. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution: Before initiating any formal dispute resolution, you agree to first contact us at support@verastudio.com and attempt to resolve the dispute informally for at least sixty (60) days. If we are unable to resolve the dispute informally, either party may proceed to binding arbitration as described below.

Binding Arbitration:Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved through informal resolution shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver:YOU AND VERA STUDIO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Jury Trial Waiver: YOU HEREBY WAIVE YOUR RIGHT TO A TRIAL BY JURY IN ANY COURT IN CONNECTION WITH ANY CLAIM OR DISPUTE ARISING UNDER THESE TERMS.

12. Indemnification

You agree to indemnify, defend, and hold harmless Fore Technologies LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) your User Content.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. For any claims not subject to arbitration, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Maricopa County, Arizona.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you by email. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using the Service.
